Ratio decidendi

The rule this decision rests on

Where a company in voluntary liquidation under section 59 of the Insolvency and Bankruptcy Code, 2016 has, on the liquidator's application, been shown to have completed the statutory steps (the directors' declaration of solvency, the shareholders' special resolution, the public announcement with the thirty-day claims window, intimation to the Income Tax authority, the preliminary report and list of stakeholders, closure of bank accounts, and the Form H compliance certificate), and no claims or adverse comments have been received, the Tribunal may allow the application and dissolve the company with effect from the date of its order under section 59(7). Once dissolution is ordered, the liquidator must preserve the reports, registers, books of account and bank-closure evidence referred to in Regulations 8 and 10 for eight years in electronic form and three years in physical form, at a secure place, as required by Regulation 41 of the Voluntary Liquidation Process Regulations, 2017.
