In the matter of Airstar Digital Finserv Private Limited

National Company Law Tribunal12 December 2025

Ratio decidendi

The rule this decision rests on

The Tribunal has power under Section 59(8) of the Insolvency and Bankruptcy Code, 2016 to dissolve a corporate person in voluntary liquidation once the affairs of the company have been completely wound up and its assets entirely liquidated, and it may do so on an application under Section 59(7) where that condition is shown to be satisfied on the material placed before it. Dissolution under Section 59(8) is not to be ordered merely on the liquidator's report or the company's assertion; the Tribunal must examine the submissions and documents filed with the application, and where the liquidation accounts show distribution of the proceeds to members and the outstanding statutory dues (including tax) have been discharged, the condition of complete winding up is met. An order of dissolution under Section 59(8) does not absolve the company or its directors from financial or criminal liability for acts or omissions in the conduct of its affairs, and the liquidator must consequently notify the tax authorities of dissolution and surrender the company's PAN and GSTIN.
