Ratio decidendi

The rule this decision rests on

The Adjudicating Authority may, on an application by the Committee of Creditors under Section 22(3)(b) of the Insolvency and Bankruptcy Code, 2016, appoint a proposed resolution professional in place of the interim resolution professional where the Committee has approved the replacement by the requisite majority of not less than sixty-six per cent. of the voting share of the financial creditors, and the proposed resolution professional's written consent is on record; the approval is not defeated merely because a portion of the Committee members were absent from the meeting, provided the requisite majority of the voting shares so approved. The outgoing interim resolution professional's custody of the corporate debtor's assets, documents and process papers is to be handed over to the incoming resolution professional upon appointment, and the Committee of Creditors is to settle the outstanding fees and expenses of the outgoing interim resolution professional within a fixed period, the Tribunal having directed such settlement as an incident of the replacement order.
