Ratio decidendi
The rule this decision rests on
The Adjudicating Authority may order liquidation of a corporate debtor under Section 33(1) of the Insolvency and Bankruptcy Code, 2016 where the Committee of Creditors has resolved to liquidate, upon the failure of prospective resolution applicants to submit resolution plans within the prescribed time limit despite repeated invitations of expressions of interest and extension of the deadline, and where the application is in consonance with Section 33; in such circumstances the Tribunal has no option but to order liquidation in the manner laid down in Chapter III of the Code. Upon the making of a liquidation order, the moratorium under Section 14 ceases to operate, and the Liquidator appointed under Section 34 acquires the powers of the Board of Directors, key managerial personnel and partners of the corporate debtor, which accordingly cease to have effect, with suits or legal proceedings against the corporate debtor barred save as permitted under Section 52. Where the Committee of Creditors recommends an insolvency professional other than the resolution professional or interim resolution professional for appointment as liquidator, and written consent has been furnished, the Adjudicating Authority may appoint that professional as liquidator in accordance with Section 34(1), having regard to the Insolvency and Bankruptcy Board of India circular dated 18.07.2023 issued under Section 34(4)(b).
