Housing Development Finance Corporation Limited — Combination C-2023/05/1033
- Case No.C-2023/05/1033
Ratio decidendi
The rule this decision rests on
Where the Commission assesses a combination in the relevant markets defined by the parties, it may leave the precise delineation of those markets open if the material on record does not suggest the combination is likely to raise competition concerns. Where the combined horizontal market share of the parties is low, and the market contains other players capable of continuing to constrain the parties after the combination, the combination is not likely to have an appreciable adverse effect on competition in that market. Where the shares of the target in the upstream market and of the acquirer in the downstream market are low, and those markets contain other established players, the vertical relationship does not give rise to an appreciable adverse effect on competition. Where, having assessed the combination on the material on record and on the factors listed in Section 20(4) of the Act, the Commission is of the opinion that the combination is not likely to have an appreciable adverse effect on competition in India, it shall approve the combination under Section 31(1) of the Act.
