Housing Development Finance Corporation Limited — Combination C-2023/05/1032

Competition Commission Of India20 June 2023

Ratio decidendi

The rule this decision rests on

The Commission may approve a combination under Section 31(1) where, having considered the material on record, the notice under Section 6(2) and the factors in Section 20(4), it is of the opinion that the combination is not likely to have an appreciable adverse effect on competition in India. Where the material on record does not suggest that a proposed combination is likely to cause competition concerns, the Commission may assess the combination within the segments identified by the parties and leave the precise delineation of the relevant market open. In assessing horizontal and vertical overlaps, low individual and combined market shares of the parties and their group entities in the relevant markets, together with the presence of several independent competitors who exert competitive constraint, support the finding that a combination is not likely to have an appreciable adverse effect on competition.
