HDFC Limited, HDFC Bank, HDFC Holdings and HDFC Investments — Combination C-2022/06/942

Competition Commission Of India12 August 2022

Ratio decidendi

The rule this decision rests on

A combination is approved under s.31(1) where, on the notice and the material on record, the Commission is of the opinion that it is not likely to have an appreciable adverse effect on competition in India, assessed on the factors in s.20(4). Where the material on record does not suggest that a proposed combination is likely to cause any competition concern, the Commission may leave the delineation of the relevant markets open and assess the overlaps on the markets as the parties define them. In horizontal overlaps, a combined market share and an incremental share that are both low, together with the presence of several other players that continue to constrain the merged entity, do not amount to an appreciable adverse effect on competition. In vertical relationships, where the combination causes no exit of a vertically linked party from either the upstream or downstream level, and other players operate at both levels, the combination is not likely to change the competitive dynamics or raise foreclosure concerns.
