Exemption order under regulation 11 of SEBI (SAST) Regulations, 2011 in the matter of “Allahabad Bank

Ratio decidendi
The rule this decision rests on
The acquisition of additional shares that takes a promoter's holding up by more than five per cent in a financial year attracts Regulation 3(2) of the Takeover Regulations, so an open offer is required unless exempted. The Board may exempt an acquirer under Regulation 11(5) from the Regulation 3(2) open offer requirement where the acquisition is a preferential allotment made to infuse capital so that the target bank can meet regulatory capital norms, and the acquisition effects no change in control of the target company. An exemption under Regulation 11(5) that relieves only the open offer obligation does not relieve the acquirer of disclosure duties under Chapter V of the Takeover Regulations or of obligations under the insider trading regulations, the listing regulations, or the Securities Contracts (Regulation) Rules, 1957. It is also conditional on the acquisition complying with the Companies Act, 2013 and other applicable law, and on the accuracy of the statements in the application.
