Exemption order under regulation 11 of SEBI (SAST) Regulations, 2011 in the matter of FDC Limited

Securities And Exchange Board Of India21 August 2018

Ratio decidendi

The rule this decision rests on

The Board may grant exemption under Regulation 11(5) from the open offer requirement in Regulation 3(2) for a transfer of promoter shares to private family trusts where the transfer is, in substance, a mirror image of the transferors' holding: there is no change in ownership or control, the promoter and public shareholding remain unchanged, and the trusts' trustees and beneficiaries are immediate family members and their descendants who satisfy the conditions of the SEBI Circular dated December 22, 2017. Exemption from the open offer obligation is conditional on the acquirers treating ownership or control of the shares as vesting indirectly in the beneficiaries as well as the trustees, on the transferors' liabilities under the SEBI Act and the Regulations not being changed or diluted by the transfer, and on the acquirers' annual confirmation and independent audit of compliance, with the exemption confined to the open offer requirement and not extending to other disclosure, insider trading or listing obligations. The grant rests on the accuracy of the facts and undertakings stated in the application and later submissions, so the exemption is conditional on those representations remaining true and correct.
