Exemption order under regulation 11 of SEBI (SAST) Regulations, 2011 in the matter of Rossell India Limited

Securities And Exchange Board Of India9 July 2019

Ratio decidendi

The rule this decision rests on

Where a transfer of shares to a family trust results in no change of ownership or control of the target company, and the trust meets the guidelines in the SEBI Circular dated December 22, 2017 (trustees and beneficiaries limited to individual promoters, their immediate relatives or lineal descendants, no transfer of beneficial interest, and disclosure and annual certification obligations), the trust may be treated as a mirror image of the promoters' holdings, and the Board may grant exemption from Regulations 3(1), 4 and 5 of the Takeover Regulations 2011 under Regulation 11(5) read with Sections 11(1) and 11(2)(h) of the SEBI Act. The Board may grant such exemption where the acquisition leaves the promoter and promoter group shareholding and the public shareholding unchanged in aggregate, so that there is no change in control of the target company and the minimum public shareholding requirements continue to be met. An exemption so granted is conditional on the acquisition complying with the Companies Act, 2013 and other applicable laws, on the acquirer reporting completion to SEBI within 21 days, on the truth of the averments in the application, on continued compliance with the undertakings and the Circular, and on the trust deed being modified if any of its covenants conflict with those conditions. An exemption from the open offer obligation under the Takeover Regulations does not extend to disclosure requirements under Chapter V of those Regulations, the SEBI (Prohibition of Insider Trading) Regulations, 2015, or the listing obligations under the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
