Exemption order under regulation 11 of SEBI (SAST) Regulations, 2011 in the matter of APIS India Limited

Securities And Exchange Board Of India4 October 2019

Ratio decidendi

The rule this decision rests on

A transfer of promoter shareholding into a family trust does not attract the open offer obligations under Regulations 3, 4 and 5 of the Takeover Regulations, and the acquirer may be exempted under Regulation 11(5), where the trust is in substance a mirror image of the promoters' holdings, so that there is no change in ownership or control of the target company, the promoters' aggregate shareholding is unchanged, and the trust deed complies with the Guidelines in the Schedule to the SEBI Circular dated December 22, 2017. Such an exemption is conditional. It is confined to the requirement to make an open offer and does not relieve the acquirer of disclosure obligations under Chapter V of the Takeover Regulations, the insider trading regulations, or the listing regulations. The exemption may be granted subject to conditions imposed in the interest of investors, including that the acquisition complies with the Companies Act, 2013, that the acquirer reports completion within the prescribed period, that the representations in the application are true, and that the trust deed and the composition of the promoter companies' boards remain confined to promoters or their immediate relatives or lineal descendants.
