Ratio decidendi
The rule this decision rests on
The acquisition of a further 7.9% of voting rights by a promoter already holding 70.62%, within one financial year, engages Regulation 3(2) of the Takeover Regulations, which bars such an acquisition of more than five per cent in a financial year without an open offer. An exemption from that requirement may be granted under Regulation 11(5) where the acquisition effects no change in control of the target company, is made to infuse capital to improve capital adequacy and fund general business needs, and leaves the number of shares held by the public unchanged. An exemption under Regulation 11(5) is granted subject to conditions: the acquisition must comply with the Companies Act, 2013 and other applicable law; the disclosures and averments in the application must be accurate and complied with; and the public shareholding must be restored to 25% under the Securities Contracts (Regulation) Rules, 1957. The exemption is confined to the open offer requirement and does not dispense with disclosure obligations under Chapter V of the Takeover Regulations, the Insider Trading Regulations, or the Listing Obligations and Disclosure Requirements Regulations.
