The rule this decision rests on
The acquisition of additional shares by an acquirer already holding 25% or more, which would otherwise attract Regulation 3(2), may be exempted under Regulation 11(5) where it does not change control of the target company and the number of shares held by public shareholders is unchanged. Where the acquisition is a preferential allotment made to meet the target company's regulatory capital requirements, that purpose supports the grant of exemption from the open offer requirement of Regulation 3(2). An exemption granted on these grounds may be made subject to conditions, including that the acquisition complies with the Companies Act, 2013 and other applicable law, that the facts stated in the application are true and correct, and that the acquirer's public shareholding is raised to the minimum level required by Rule 19A of the Securities Contracts (Regulation) Rules, 1957. An exemption from the open offer requirement under Regulation 3(2) does not extend to the disclosure obligations under Chapter V of the Takeover Regulations, the SEBI (Prohibition of Insider Trading) Regulations, 2015, or the listing obligations and other provisions of securities law.
