Exemption order under regulation 11 of SEBI (SAST) Regulations, 2011 in the matter of " SOMANY CERAMICS LIMITED "
- CitationWTM/GM/CFD/53/2019–20
Ratio decidendi
The rule this decision rests on
The Acquirer Trusts were eligible for exemption from the open offer obligations under Regulations 3 and 4 because their amended trust deeds conform to the guidelines in the Schedule to SEBI Circular dated December 22, 2017, under which the trust is treated as a mirror image of the promoters' holding, with trustees and beneficiaries limited to promoters or their immediate relatives and no change in ownership or control. Exemption from Regulations 3 and 4 may be granted where the proposed transfer of shares to such trusts results in no change in control of the target company, no change in the aggregate promoter shareholding, no change in public shareholding, and continued compliance with minimum public shareholding requirements. The exemption is confined to the open offer requirements of the Takeover Regulations and does not relieve the acquirers of disclosure obligations or of compliance with other securities laws and regulations. Conditions may be imposed on the grant of such exemption in the interest of investors.
