Exemption Order under Regulation 11 of SEBI (SAST) Regulations, 2011 in the matter of Lux Industries Limited

Securities And Exchange Board Of India30 April 2020

Ratio decidendi

The rule this decision rests on

The acquisition of shares by a trust from promoters, without monetary consideration, does not attract the open offer requirements of Regulations 3 and 4 where the transfer causes no change in ownership or control of the target company. This is so where the trust is in substance a mirror image of the promoters' holdings, its trustees and beneficiaries are only individual promoters or their immediate relatives or lineal descendants, and the Circular dated December 22, 2017 is otherwise complied with. Exemption under Regulation 11(5) may be granted from Regulations 3 and 4 on the basis of the applicant's confirmed compliance with the guidelines in the Schedule to that Circular, together with undertakings to amend the trust deeds so as to conform to those guidelines. Where a trust deed contains a covenant inconsistent with the conditions of exemption, the deed must be modified and the modification reported to the Board. An exemption so granted is limited to the requirement to make an open offer. It does not dispense with disclosure obligations under Chapter V of the Takeover Regulations, the insider trading regulations, or the listing regulations, and it is sub
