Exemption order under regulation 11 of SEBI (SAST) Regulations, 2011 in the matter of Titagarh Wagons Limited

Securities And Exchange Board Of India30 July 2020

Ratio decidendi

The rule this decision rests on

A transfer of shares by promoter-group members to a trust in which those same individuals are the settlors, trustees and beneficiaries, and which is in substance a mirror image of their existing holdings, involves no change in ownership or control and may be exempted from the open offer obligations in Regulations 3(2) and 5(1) under Regulation 11(5) of the Takeover Regulations, where the acquisition leaves pre- and post-acquisition promoter and public shareholding unchanged and the target company continues to meet minimum public shareholding requirements. The exemption is conditioned on the acquirer trust's compliance with the Guidelines in the Schedule to SEBI Circular dated 22 December 2017. These require that only individual promoters or their immediate relatives or lineal descendants be trustees and beneficiaries, that beneficial interests not be transferred, assigned or encumbered, that the trust be irrevocable, and that the acquirer report and certify its compliance. The truth of the facts stated in the application is also a condition of the exemption. An exemption granted under Regulation
