Ratio decidendi
The rule this decision rests on
Where a transfer of shares in a target company is effected indirectly, by transferring the controlling holding in intermediate companies to a family trust, it is an indirect acquisition attracting Regulations 4 and 5 of the Takeover Regulations, and an exemption from those provisions may be granted under Regulation 11 where the transaction involves no change in control of the target companies, the pre- and post-acquisition promoter and public shareholdings remain identical, and the trust operates as a mirror image of the transferor's holdings. The exemption is conditional on the acquirer's compliance with the guidelines in the SEBI circular dated 22 December 2017, including the trust's undertakings on trustees, beneficiaries, non-transferability of beneficial interests, and disclosure of changes, and on the acquirer's accuracy in its application and submissions. The exemption extends only to the requirement to make an open offer under the Takeover Regulations. It does not relieve the acquirer of disclosure obligations under Chapter V of those Regulations, the SEBI (Prohibition of Insider Trading) Regulations, 2015, the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, or any other applicable enactment or regulation.
