Securities And Exchange Board Of India11 December 2020

Ratio decidendi

The rule this decision rests on

Where proposed inter se transfers of promoter shares to family trusts would attract Regulations 3(2) and 4 of the Takeover Regulations, the Board may grant exemption under Regulation 11(5) if the transfers do not change ownership or control of the target company. The exemption is justified where the trusts are in substance a mirror image of the promoters' holdings, their trustees and beneficiaries are only individual promoters, their immediate relatives or lineal descendants, the beneficial interests are non-transferable and not encumbered, the promoter and public shareholdings remain unchanged, and the target company continues to meet minimum public shareholding requirements. The exemption is conditional. The acquirers must comply with the undertakings and guidelines in the Schedule to the SEBI Circular dated December 22, 2017, and with the truth of their submissions. Where the trust deeds conflict with those conditions, they must be modified and reported to SEBI. The exemption extends only to the open-offer obligation under the Takeover Regulations. It does not dispense with disclosure obligations under Ch
