Exemption Order under Regulation 11 of SEBI (SAST) Regulations, 2011 in the matter of West Leisure Resorts Ltd
- Order No.WTM/SKM/CFD/13/2021-22
Ratio decidendi
The rule this decision rests on
Where a proposed transfer of shares to a trust leaves the aggregate promoter and promoter group holding unchanged, causes no change in control, and the trust's trustees and beneficiaries are members of the promoter group or immediate relatives or lineal descendants of the promoter, the Board may grant exemption under regulation 11(5) from the open offer obligations under regulations 3(1), 4 and 5(1), on the footing that the Board is satisfied the transaction meets the conditions set out in the SEBI Circular dated December 22, 2017. The Board is satisfied on that footing only where the acquirer confirms compliance with the Circular's guidelines, including that the trust is a mirror image of the promoter's holding, that ownership or control is treated as vesting indirectly in the beneficiaries, and that the transferor's liabilities are unaffected. The exemption is subject to the acquirer's undertakings, the accuracy of its representations, and the trust deed being conformed to the exemption conditions. An exemption granted on these grounds is confined to the open offer requirement and does not dispense with the disclosure obligations under Chapter V of the Takeover Regulations, the insider trading regulations, or the listing regulations.
