Exemption Order under Regulation 11 of SEBI (SAST) Regulations, 2011 in the matter of Signet Industries Limited.

Securities And Exchange Board Of India14 August 2024

Ratio decidendi

The rule this decision rests on

Where an acquisition by trusts transfers only legal title among members of the promoter group, leaves the aggregate promoter and promoter-group shareholding and the control of the target company unchanged, and does not prejudice public shareholders, the acquirer may be exempted under regulation 11(5) of the Takeover Regulations from the open offer obligations in regulations 3(2), 4 and 5 read with regulation 4. Trust structures meeting the guidelines in the Schedule to the SEBI Circular dated December 22, 2017 are treated as a mirror image of the promoters' holdings. Ownership and control of such shares vest, for the purposes of the SEBI Act and its regulations, not only in the trustees but also indirectly in the beneficiaries. Where the trustees and beneficiaries are confined to promoters, their immediate relatives and lineal descendants, and the transferors' liabilities are not diluted, the transfer is not a change of ownership or control requiring an open offer. An exemption so granted is conditional on the acquisition being carried out in accordance with the Companies Act, 2013 and other applicable laws, on the acquirers' continuing compliance with the representations in their application and with the Circular, and on any trust deed inconsistent with those conditions being amended and reported to SEBI. It is confined to the open offer requirements, does not extend to the disclosure, insider trading or listing obligations, and lapses if

Vide the Application, the Acquirer Trusts have sought exemption from SEBI in respect of the same.

Grounds for seeking exemption –

4. Vide the Application, the Applicant Trusts have, inter-alia, provided following grounds for seeking exemption:

(a) The proposed transfer is only in the nature of inter-se transfer of shares within the promoter/promoter group, with no change in the overall promoter/promoter group shareholding in the Target Company, which is 72.57% and same will remain unchanged. (b) The beneficiaries, on date of the Application, and the settlors of the Acquirer trusts belong to the promoter group of the Target Company and hence, the Acquirer Trusts, post-acquisition, would become PACs within the meaning of regulation 2(q)(2)(iv) of the Takeover Regulations, 2011. (c) The proposed acquisition is intended to streamline succession and welfare of the members of the Sangla Family, being members of the promoter group of the Target company. As stated above, by way of proposed acquisition, the Trustees of the Acquirer Trusts would obtain legal title to the shares held, directly and indirectly, in the Target Company. Moreover, the members of Sangla Family are the only beneficiaries of the Acquirer Trusts. Thus, the proposed transfer of shares and voting rights to the Acquirer Trusts would only result in a de jure change of shareholding in the Target Company, and consequently, the beneficial ownership of the Target Company would remain in the promoter group.

(d) The proposed acquisition would not result in any increase or decrease in the shareholding of the promoter group, nor would it result in a change in control and management of the Target company as Mr. Mukesh Sangla and his immediate relatives would continue to maintain their interest in the Target company through the Acquirer Trusts. The proposed acquisition would also not result in any change in the board of directors of the Target Company. The proposed acquisition would not have any adverse impact on the Target Company or the securities market in India and is not expected to cause any appreciable or adverse effect on the price of the shares of the Target Company. (e) The proposed acquisition is only an internal arrangement wherein the interest of the beneficiaries in the Target Company will be held/maintained through the Acquirer Trusts. Therefore, it will not affect or prejudice the interests of the public shareholders of the Target Company in any manner and there will be no reduction/change in the holding of public shareholders in the Target Company. (f) The Proposed Transaction is intended to streamline succession and welfare of the Family members and their lineal descendants, being members of the promoter group of the Target Company.

Consideration - 5. I have considered the Application submitted by the Acquirer Trusts and other material available on record. Before I proceed further, I deem it fit to draw reference to the provisions of regulations 3(2), 4 and 5 of the Takeover Regulations, 2011, which state as under – “Substantial acquisition of shares or voting rights. 3(2): No acquirer, who together with persons acting in concert with him, has acquired and holds in accordance with these regulations shares or voting rights in a target company entitling them to exercise twenty-five per cent or more of the voting rights in the target company but less than the maximum permissible non-public shareholding, shall acquire within any financial year additional shares or voting rights in such target company entitling them to exercise more than five per cent of the voting rights, unless the acquirer makes a public announcement of an open offer for acquiring shares of such target company in accordance with these regulations

Acquisition of control. 4 Irrespective of acquisition or holding of shares or voting rights in a target company, no acquirer shall acquire, directly or indirectly, control over such target company unless the acquirer makes a public announcement of an open offer for acquiring shares of such target company in accordance with these regulations.

Indirect acquisition of shares or control. 5(1) For the purposes of regulation 3 and regulation 4, acquisition of shares or voting rights in, or control over, any company or other entity, that would enable any person and persons acting in concert with him to exercise or direct the exercise of such percentage of voting rights in, or control over, a target company, the acquisition of which would otherwise attract the obligation to make a public announcement of an open offer for acquiring shares under these regulations, shall be considered as an indirect acquisition of shares or voting rights in, or control over the target company…”

6. Without reiterating the facts as stated above, I note the following:

(a) The Application submitted is in respect of the proposed acquisitions of the shareholding and voting rights in the Target Company, i.e., Signet Industries Limited. The proposed acquisition would be non-commercial transaction which would not affect or prejudice the interests of the public shareholders of the Target Company in any manner.

(c) There will be no change in control of the Target Company pursuant to the proposed acquisition, as stipulated under the SEBI Circular No. SEBI/HO/CFD/DCR1/CIR/P/2017/131 dated December 22, 2017 (“SEBI Circular dated December 22, 2017”).
