Securities And Exchange Board Of India3 January 2025

Ratio decidendi

The rule this decision rests on

A proposed direct acquisition of shares and voting rights by a trust, which would otherwise attract the open offer obligations in regulations 3(1) and 4 of the Takeover Regulations, 2011, may be exempted under regulation 11(5) where the acquisition is an internal reorganisation within the promoter family, produces no change in ownership or control of the target company, leaves the promoter group's pre- and post-acquisition shareholding unchanged, is non-commercial and does not prejudice public shareholders, and the acquirer confirms compliance with the conditions in Chapter 8 of SEBI Circular No. SEBI/HO/CFD/PoD-1/P/CIR/2023/31 (the trust as a mirror image of the promoters, with trustees and beneficiaries limited to individual promoters, relatives or lineal descendants, non-transferable beneficial interests, and the other guidelines listed). Such an exemption is conditional on the acquisition being carried out in accordance with the Companies Act, 2013 and other applicable laws, on the acquirer's compliance with the representations, undertakings and the Circular, and on the trust deeds being modified where their covenants conflict with those conditions. It is also time-limited, lapsing if the acquisition is not completed within one year of the order. The exemption extends only to the open
