Exemption Order under Regulation 11 of SEBI (SAST) Regulations, 2011 in the matter of Balrampur Chini Mills Limited.

Securities And Exchange Board Of India30 April 2025

Ratio decidendi

The rule this decision rests on

A proposed transfer of shares by a promoter to a private discretionary trust, where the trustees and beneficiaries are promoters, promoter-group members, or their immediate relatives or lineal descendants, does not alter control or the aggregate promoter and public holdings. Where the trust undertakes to meet the conditions in Chapter 8 of the SEBI Master Circular dated February 16, 2023, such a transfer may be exempted under Regulation 11(5) of the Takeover Regulations from the open offer requirements of Regulations 3(1) and 4, subject to the conditions imposed. An exemption from the open offer requirements under Regulations 3(1) and 4 does not dispense with the disclosure requirements under Chapter V, the SEBI (Prohibition of Insider Trading) Regulations, 2015, the Listing Obligations and Disclosure Requirements Regulations, 2015, or any other applicable law. An exemption granted under Regulation 11(5) lapses if the proposed acquisitions are not implemented within one year of the date of the order.

Grounds for seeking exemption - 4. Vide the Application, the Acquirer Trusts have, inter alia, provided the following grounds for seeking exemption from the applicability of Regulations 3 and 4 of the Takeover Regulations, 2011: (a) The proposed acquisitions are intended to streamline succession and welfare of the Family Members and their lineal descendants, being members of the promoter group of the Target Company. (b) Post the proposed transactions, (i) Saraogi Family Trust would be the legal owner of 5,24,48,387 equity shares amounting to 25.98% of the total equity share capital of the Target Company, and (ii) Saraogi Trust would be the legal owner of 42,84,531 equity shares amounting to 2.12% of the total equity share capital of the Target Company. The Acquirers shall hold the said equity shares of the Target Company for the benefit of the beneficiaries of the Acquirer Trusts. The trustees and the beneficiaries of the Acquirer Trusts are promoters and members of the promoter group of the Target Company or their lineal descendants. Therefore, the current promoters and promoter group would continue to exercise control over the Target Company pursuant to the proposed transactions. (c) The proposed transactions are only in the nature of a transfer of equity shares within the promoters and promoter group of the Target Company, with no change in the overall promoter and promoter group shareholding in the Target Company. Pursuant to the proposed transactions, the promoters and promoter group will continue to hold an aggregate equity share capital of the Target Company, as they hold on the date of filing the application. Further, the public shareholders shall continue to hold an aggregate of the total equity share capital of the Target Company, as they hold on the date of filing the application. The proposed transactions are non-commercial transactions and therefore will not affect or prejudice the interests of the public shareholders of the Target Company in any manner. (d) The proposed transactions shall not have any adverse impact on the Target Company or the wider securities market in India and are not expected to cause any appreciable adverse effect on the price of the shares of the Target Company.

(e) The Trusts have also provided undertakings regarding compliance with the conditions stipulated in Chapter 8 of SEBI Master Circular No. SEBI/HO/CFD/PoD-1/P/CIR/2023/31 dated February 16, 2023.

Consideration- 5. I have considered the Application submitted by the Acquirer Trusts and other material available on record. Before I proceed further, I deem it fit to draw reference to the provisions of Regulations 3(1) and 4 of the Takeover Regulations, 2011, which state as under: “Substantial acquisition of shares or voting rights. 3(1). No acquirer shall acquire shares or voting rights in a target company which taken together with shares or voting rights, if any, held by him and by persons acting in concert with him in such target company, entitle them to exercise twenty-five per cent or more of the voting rights in such target company unless the acquirer makes a public announcement of an open offer for acquiring shares of such target company in accordance with these regulations.

Provided that such acquirer shall not be entitled to acquire or enter into any agreement to acquire shares or voting rights exceeding such number of shares as would take the aggregate shareholding pursuant to the acquisition above the maximum permissible non-public shareholding.

Acquisition of control. 4. Irrespective of acquisition or holding of shares or voting rights in a target company, no acquirer shall acquire, directly or indirectly, control over such target company unless the acquirer makes a public announcement of an open offer for acquiring shares of such target company in accordance with these regulations.”
