Exemption Order under Regulation 11 of SEBI (SAST) Regulations, 2011 in the matter of Sandhar Technologies Limited

Securities And Exchange Board Of India30 April 2025

Ratio decidendi

The rule this decision rests on

Where a transfer of shares of a listed target company to an irrevocable family trust results in no change of control and no change in the aggregate promoter and promoter group holding, and the trust meets the conditions for family trusts in Chapter 8 of the SEBI Master Circular dated February 16, 2023, the regulator may exempt the acquirer trust from the open offer obligations under Regulations 4 and 5(1) of the Takeover Regulations, 2011, under Regulation 11(5), because the acquisition is then not one that would affect or prejudice the public shareholders. The exemption is conditional. It is confined to the open offer requirements and does not exempt the acquirers from Chapter V disclosure obligations, the insider trading regulations, or the listing obligations. It is subject to the acquisition being carried out in accordance with the Companies Act, 2013 and other applicable laws, to the accuracy of the application, to the trust deeds being modified where their covenants conflict with the conditions, and to the acquisition being completed within one year, failing which the exemption lapses.
