Exemption Order under Regulation 11 of SEBI (SAST) Regulations, 2011 in the matter of Sharda Motor Industries Limited
- Order No.WTM/AB/CFD/04/2025-26
Ratio decidendi
The rule this decision rests on
An acquisition of shares that attracts Regulations 3(1) and 4 of the Takeover Regulations, 2011, because it entitles the acquirer to 25% or more of the voting rights and confers direct control, may be exempted from the open offer requirement under Regulation 11(5) where it is an internal reorganisation within the promoter family that does not change ownership or control of the target company. Such an acquisition qualifies where the transferors and the acquirer are promoters, the promoter and public shareholdings remain unchanged, and the acquirer trust is in substance a mirror image of the promoters' holdings. The trust must meet each condition in the SEBI Circular, including that only individual promoters or their immediate relatives or lineal descendants are its trustees and beneficiaries, that beneficial interests are not transferable or encumbered, and that the transferors' liabilities under the SEBI Act and regulations are not diluted by the transfer. An exemption so granted is conditional on the acquisition complying with the Companies Act, 2013 and other applicable law, on the accuracy of the facts stated in the application, and on the acquirer's compliance with its undertakings and the Circular. It is confined to the open offer requirement under Regulation 3(1) and Regulation 4 and does not dispense with disclosure obligations or other legal requirements. It lapses if the acquisition is not completed within one year of the order.
