Exemption order under regulation 11 of SEBI (SAST) Regulations, 2011 in respect of IVG Family Trust in the matter of "Vadilal Industries Limited"
- CitationWTM/GM/CFD/1/2020–21
Ratio decidendi
The rule this decision rests on
The Board may exempt an acquisition that would otherwise trigger the open offer obligations under Regulations 3, 4 and 5 where the transfer to a family trust is in substance an inter-se transfer within the promoter group. The acquisition qualifies where it effects no change in ownership or control, leaves the aggregate promoter and public shareholdings unchanged, and the trust's terms satisfy the guidelines in the Schedule to the SEBI Circular dated December 22, 2017. A trust whose trustees and beneficiaries are promoters, their immediate relatives, or their lineal descendants satisfies the Circular's requirement that trustees and beneficiaries be individual promoters or their immediate relatives or lineal descendants. A trustee who is the brother of an individual promoter, and a beneficiary who is that trustee's son, fall within that requirement even though the trustee and beneficiary are themselves members of the promoter group rather than individual promoters. An exemption under Regulation 11 from the open offer requirements of Regulations 3, 4 and 5 is confined to those requirements. It does not extend to the disclosure obligations under Chapter V, the SEBI (Prohibition of Insider Trading) Regulations, 2015, or the listing regulations, and it is made subject to conditions, including that the acquisition complies with the Companies Act, 2013, that the averments in the application are true, and that the trust deed is conformed to the conditions.

CONSIDERATION –
5. I have considered the Application submitted by Virendra Ramchandra Gandhi and other material available on record. Without reiterating the facts as stated above, the following is noted:
A. The Application submitted is in respect of the proposed acquisitions of shares and voting rights in the Target Company i.e. Vadilal Industries Limited. The proposed acquisitions as detailed at paragraphs 4D and 4E, which are to be made by IVG Family Trust i.e. the Proposed Acquirer, will attract the provisions of Regulations 3, 4 and 5 of the Takeover Regulations 2011.
B. Pursuant to the proposed acquisitions, the Proposed Acquirer will directly hold an aggregate of 5.59% of the paid up equity capital in the Target Company.
C. There will be no change in control of the Target Company pursuant to the proposed acquisition, as stipulated under the SEBI Circular dated December 22, 2017.
D. The pre–acquisition and post–acquisition shareholding of the Promoters in the Target Company will remain the same (except that of the transferors and the transferees in the Direct Acquisition).
E. There will also be no change in the public shareholding of the Target Company.
F. The Target Company shall continue to be in compliance with the minimum public shareholding requirements under the Securities Contracts Regulation Rules, 1957 (“SCRR”) and the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
G. As regards the Guideline outlined in the Schedule to the SEBI Circular dated December 22, 2017 i.e. “only individual promoters or their immediate relatives or lineal descendants are Trustees and beneficiaries.” it is noted that Virendra Gandhi and Janmajay Gandhi are not individual promoters of the Target Company but rather form part of the promoter group of the Target Company. However, Virendra Gandhi (Trustee of the Acquirer Trust) is nonetheless an immediate relative (brother) of an individual promoter of the Target Company i.e. Rajesh Gandhi. Further, Janmajay Gandhi is the son of Virendra Gandhi. The objective of the proposed acquisitions is to streamline succession and promote welfare of the members of the Virendra Ramchandra Gandhi Family, being members of the Promoter / Promoter Group of the Target Company.
6. Considering the aforementioned, I am of the view that exemption as sought for in the Application (read with further submissions) may be granted to the Proposed Acquirer, subject to certain conditions as ordered herein below.

In such case, the Trust Deed shall be suitably modified and expeditiously reported to SEBI. vi. All references to ‘voting trusts’ and ‘deposit of trust property with any other trusts’ shall be deleted from the Trust Deed.
9. The exemption granted above is limited to the requirements of making open offer under the Takeover Regulations and shall not be construed as exemption from the disclosure requirements under Chapter V of the aforesaid Regulations; compliance with the SEBI (Prohibition of Insider Trading) Regulations, 2015; Listing Agreement/SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 or any other applicable Acts, Rules and Regulations.
10. The Application dated February 25, 2019 read with e–mails dated May 13, 2019, June 12, 2019, October 22, 2019, January 3, 2020 and January 8, 2020, filed by Virendra Ramchandra Gandhi on behalf of IVG Family Trust, is accordingly disposed of.
