Exemption order under regulation 11(5) of SEBI (SAST) Regulations, 2011 in the matter of Borosil Glass Works Limited

Securities And Exchange Board Of India31 March 2020

Ratio decidendi

The rule this decision rests on

The Board may grant exemption under Regulation 11(5) from the open offer requirements of Regulations 3(1) and 4 for an acquisition of shares by family trusts from promoter-group transferors where there is no change in ownership or control: the trusts are in substance a mirror image of the promoters' holdings, their trustees and beneficiaries are promoters, promoter-group members or their lineal descendants, and the transfer is without monetary consideration, leaves promoter and public shareholding unchanged, and is accompanied by the Circular's specified undertakings. The exemption is conditional. The acquirers must comply with the Companies Act, 2013, file a post-acquisition report, ensure that their statements are true and that their undertakings and the Circular's conditions are complied with, and amend trust deeds that conflict with those conditions, including removing voting-trust, power-to-decant and receiving-trust provisions. An exemption under Regulation 11(5) is confined to the open offer requirements of the Takeover Regulations. It does not relieve the acquirers from disclosure obligations under Chapter V of those Regulations, the SEBI (Prohibition of Insider Trading) Regulations, 2015, the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, or any other applicable enactment.
