Exemption order under regulation 11(5) of SEBI (SAST) Regulations, 2011 in the matter of Bengal & Assam Company Limited
- Order No.WTM/SKM/CFD/3/2020-21
Ratio decidendi
The rule this decision rests on
The acquisition by family trusts of shares that, taken together with the shares already held by the promoter group, would cross the twenty-five per cent threshold attracts the open offer obligation under regulation 3(1) read with regulation 5(1) of the Takeover Regulations, including where the acquisition is indirect through a holding company. Where the acquisition is an internal family reorganisation that leaves the promoter group's and the public shareholding unchanged, and there is no change in control of the target company by the promoter group, the Board may exempt the acquirers from regulation 3(1) read with regulation 5(1) under regulation 11(5), provided the acquirers confirm compliance with the guidelines in the Schedule to the SEBI Circular dated December 22, 2017 for mirror-image family trusts. An exemption so granted is conditional on the acquirers' representations being true and correct, on compliance with the Companies Act, 2013 and other applicable laws, on filing a report within 21 days of completion, and on the trust deeds conforming to the undertakings given. It extends only to the open offer requirement
