Exemption order under regulation 11(5) of SEBI (SAST) Regulations, 2011 in the matter of Greenply Industries Ltd.

Securities And Exchange Board Of India19 March 2021

Ratio decidendi

The rule this decision rests on

A transfer of shares to a trust that would, on aggregation, take the acquirer past the 25% threshold under regulation 3(1), and would confer indirect control under regulations 4 and 5(1) of the Takeover Regulations, 2011, may be exempted from the open offer obligation under regulation 11(5) where the trust is in substance a mirror image of the promoters' existing holdings, so that there is no change in the ownership or control of the target company, and the pre- and post-transaction promoter and public shareholdings are unchanged. Where the acquirer is a trust, the absence of any change in control is to be assessed by substance rather than form. Ownership or control of the shares is treated as vesting indirectly in the beneficiaries as well as in the trustees, so the trust qualifies for exemption only if its trustees, settlor and beneficiaries are individual promoters or their immediate relatives
