Exemption order under regulation 11(5) of SEBI (SAST) Regulations, 2011 in the matter of Gulshan Polyols Limited

Securities And Exchange Board Of India22 June 2021

Ratio decidendi

The rule this decision rests on

The exemption under regulation 11(5) rests on the finding that the proposed acquisitions are inter se transfers within the promoter family that cause no change in ownership or control of the target company. This follows from the trusts being in substance mirror images of the promoters' holdings, with the pre- and post-acquisition promoter shareholding and the public shareholding unchanged, and with the applicants confirming compliance with the guidelines in the Schedule to the SEBI Circular
