Exemption order in the matter of Saurashtra Cement Limited

Securities And Exchange Board Of India14 July 2026

Ratio decidendi

The rule this decision rests on

The Board may grant exemption under regulation 11(5) of the SAST Regulations, 2011 from the open offer obligation under regulations 3(2) and 5 for an indirect acquisition that is an internal reorganisation within the promoter family, where the acquirer trust's trustees and beneficiaries are only promoters, their immediate relatives or lineal descendants; the acquisition causes no change in control, leaves pre- and post-acquisition promoter and promoter group shareholding unchanged, does not alter public shareholding or minimum public shareholding compliance, and the acquirer undertakes compliance with the conditions in Chapter 8 of the SEBI Master Circular dated February 16, 2023. Such an exemption is confined to the open offer requirement. It does not exempt the acquirer from the disclosure requirements under Chapter V, the SEBI (Prohibition of Insider Trading) Regulations, 2015, the LODR Regulations, 2015, or any other applicable law. The exemption lapses if the proposed acquisition is not implemented within one year from the date of the order.
