BCP Asia II Topco II Pte. Ltd. — Combination C-2022/11/987

Competition Commission Of India13 February 2023

Ratio decidendi

The rule this decision rests on

The Commission may leave the exact delineation of the relevant market open where the combination is not likely to cause an appreciable adverse effect on competition in any plausible alternative relevant market. A combination is approved under Section 31(1) where, on the material before the Commission, including the factors in Section 20(4), it is not likely to have an appreciable adverse effect on competition in India in any relevant market. Insignificant combined market shares of the parties in the broad and narrow segments, together with the presence of other substantial domestic and global competitors in the sector, support that conclusion. Existing supply arrangements between the target and affiliates of the acquirer's portfolio companies, which form a miniscule portion of the target's revenue and are accompanied by minuscule market shares in the relevant segments, do not give rise to an appreciable adverse effect on competition. An approval rests on the accuracy of the information furnished by the parties, and may be revoked if that information is found to be incorrect.
