Bangla Entertainment Private Limited vs Respondent

National Company Law Appellate Tribunal25 April 2022

Ratio decidendi

The rule this decision rests on

The Tribunal, having dismissed the main application, allowed the connected application and disposed of it, but a direction restraining the applicant companies from filing any scheme of arrangement under Sections 230 to 232 of the Companies Act, 2013 for one year was not supported by any reasoning or power identified in the order; because such a restraint curtails the statutory right of a company to conduct its business and manage its corporate affairs under those provisions, the direction is liable to be set aside and was expunged in appeal.

the Applicant Company (Appellant herein) will not file any scheme with

respect to Transferor and Transferee Company in a period of one year from

the date of this order.

-2-

3. The Ld. Sr. Counsel for the Appellant while assailing the impugned

order contained in Para 4 has submitted that statutory right of the Appellant

in terms of the provisions of Section 230 to 232 of the Companies Act, 2013

to conduct its business and manage its corporate affairs has been affected.

4. The Ld. Sr. Counsel for the Appellant during the course of the

argument also referred the Annexure A-7 at Pg. 77 of the Appeal paper book,

which is the order dated 15.02.2022 passed by the NCLT, Mumbai Bench,
