Approval of Resolution Plan - Anil Mega Food Park Pvt. Ltd.

National Company Law Tribunal19 November 2024

Ratio decidendi

The rule this decision rests on

The Adjudicating Authority's power under Section 31 read with Section 30(2) of the Insolvency and Bankruptcy Code, 2016 to approve a resolution plan is limited to examining whether the plan complies with the statutory requirements specified in Section 30(2), namely the payment of insolvency resolution process costs, the payment of operational creditors' debts in the prescribed manner, the management of the corporate debtor's affairs, the implementation and supervision of the plan, its non-contravention of any law for the time being in force, and any other requirements prescribed by the Board; it cannot interfere with the commercial wisdom of the Committee of Creditors. Where the Committee of Creditors has approved a resolution plan by the requisite voting share, the Adjudicating Authority must be satisfied that the Committee has taken into account the continuation of the corporate debtor as a going concern, the maximisation of the value of its assets, and the balancing of the interests of all stakeholders including operational creditors; if it is not so satisfied, the appropriate course is to remit the plan to the Committee for re-submission rather than to substitute its own commercial view.
