Ratio decidendi
The rule this decision rests on
This is a compounding order, not a judgment deciding contested legal questions, but it does rest on reasoning: the Regional Director holds that the applicant's admitted delays constitute contraventions of specified provisions of Schedule 1 to Notification No. FEMA 20/2000-RB, and fixes the compounding amount by reference to the statutory penalty ceiling and the circumstances of the case. The contravention under paragraph 8 of Schedule 1 is established where shares are not issued within 180 days of receipt of an inward remittance, and the consideration is not refunded within that period, absent permission of the Reserve Bank on an application for sufficient reasons; a delay in refunding excess share application money beyond that period is therefore a contravention of paragraph 8. Failure to report receipt of foreign inward remittances towards subscription of equity shares to the Reserve Bank within 30 days of receipt of the consideration, as required by paragraph 9(1)(A), is a contravention of that provision, and the period of default is measured from the date of receipt. Failure to submit Form FC-GPR to the Reserve Bank within 30 days of the issue of shares to a person resident outside India, as required by paragraph 9(1)(B), is a contravention of that provision, and the period of default is measured from the date of issue of the shares. Administrative reasons for delay, offered without a showing of wilfulness or mala fide intent, may be taken into account in determining the sum for which a contravention is compounded under Section 15(1) of the Foreign Exchange Management Act, 1999, where the contraventions are admitted; the penalty ceiling under Section 13 of the Act (up to thrice the sum involved) is a measure against which the compounding amount is fixed.

The applicant admitted the contraventions for which the compounding has been sought. During the personal hearing it was submitted that the delay was due to FED M/s. RA Chem Pharma Ltd CA No. HYD 167 administrative reasons in initial time and was not willful or with a malafide intention. In view of the foregoing, the applicant requested to take a lenient view in disposal of the application. The application for compounding is, therefore, being considered on the basis of the averments made in the application as well the submissions made in this context by the applicant during the personal hearing. 4. I have given my careful consideration to the documents on record and submission made by the applicant during the personal hearing. Accordingly, I hold that the applicant has contravened the following FEMA provisions issued in terms of: (a) Paragraph 8 of Schedule 1 to Notification No. FEMA 20/2000-RB for delay in refund of excess share application money beyond the stipulated period of 180 days from the date of receipt of foreign inward remittances. 5. In terms of Section 13 of the FEMA, any person contravening any provision of the Act shall be liable to a penalty upto thrice the sum involved in such contravention upon adjudication. However, taking into account the relevant facts and circumstances of the case as stated in the foregoing paragraphs, I am persuaded to take a lenient view on the amount for which the contravention is to be compounded and I consider that an amount of Rs. 7,33,297/- (Rupees Seven Lakhs Thirty Three Thousand Two Hundred Ninety Seven Only) will meet the ends of justice.
FED M/s. RA Chem Pharma Ltd CA No. HYD 167 6. Accordingly, I compound the admitted contraventions namely, the contraventions of Paragraph 8, Paragraph 9 (1) (A) and Paragraph 9 (1) (B) of Schedule 1 to Notification No. FEMA-20/2000-RB by the applicant on the facts discussed above in terms of the Foreign Exchange (Compounding Proceedings) Rules, 2000 on payment of an amount of Rs. 7,33,297/- (Rupees Seven Lakhs Thirty Three Thousand Two Hundred Ninety Seven Only) which shall be deposited by the applicant with the Reserve Bank of India, Foreign Exchange Department, 1st Floor, Saifabad, Hyderabad - 500004 by a demand draft drawn in favour of the "Reserve Bank of India" and payable at Hyderabad within a period of 15 days from the date of this order.
