Jainex Aamcol Ltd. & Ors. vs Sebi

Securities Appellate Tribunal17 November 2022

Ratio decidendi

The rule this decision rests on

The appellants' fine for non-appointment of a Company Secretary, levied for quarters falling within the Covid-19 pandemic period, cannot stand where the Tribunal has held in a materially similar case (Kesar Petroproducts Ltd. v. BSE) that a party is entitled to relief and waiver of fines imposed for non-compliance of LODR Regulations during that period; the same principle applies to the instant case, so the penalty order is set aside and the matter remitted to the adjudicating authority for a fresh order taking that decision into account.
