Exemption Order - Suzlon Energy Limited
- CitationWTM/GM/CFD/14/2019–20
Ratio decidendi
The rule this decision rests on
Where a trust acquires shares in a target company from existing promoters, and the trustees and beneficiaries are existing promoters or their immediate relatives or lineal descendants, with no change in control, no change in the promoters' aggregate or public shareholding, and compliance with the guidelines in the Schedule to the SEBI Circular dated December 22, 2017, the acquisition is not treated as a change of ownership or control. In such a case the regulator may exempt the acquirer under Regulation 11(5) from the open offer obligations in Regulations 3, 4 and 5. The exemption is limited to the open offer obligations. It does not dispense with disclosure requirements under Chapter V of the Takeover Regulations, the insider trading regulations, or the listing regulations. It is also conditional on the acquirer's continuing compliance with the representations, the Circular's guidelines, and the trust deed's conformity with those conditions.
