Approval of Resolution Plan - Baron Infotech Limited
- CitationIA (IBC) (Plan) No. 3 of 2026 in CP (IB) No.164/07/HDB/2023
Ratio decidendi
The rule this decision rests on
The Tribunal approves the resolution plan on a finding that it satisfies the requirements of Section 30(2) of the Insolvency and Bankruptcy Code, 2016 and Regulations 37, 38, 38(1A) and 39(4) of the CIRP Regulations, and that the successful resolution applicant is eligible under Section 29A of the Code. Upon approval under Section 30(6), the resolution plan, with its annexures and schedules, binds the corporate debtor, its employees, members, creditors (including Government and local authorities to whom dues are payable), guarantors and other stakeholders, and all crystallized and unclaimed liabilities as on the date of the order stand extinguished, so that no creditor of the erstwhile corporate debtor may claim anything beyond the liabilities provided in the plan. Waiver of statutory obligations or liabilities in a resolution plan is not effective by mere approval of the plan; any such waiver is subject to approval by the concerned statutory authorities, following the principle laid down in Ghanashyam Mishra and Sons Private Limited v. Edelweiss Asset Reconstruction Company Limited, and concessions or reliefs under other laws not specifically granted in the order are to be sought from the authority concerned under applicable law, having regard to Section 32A of the Code.
